1. Thank you for joining the Sneaky Snakes Club (SSC)

The Sneaky Snake Club is a collection of 10k Vector drawings created by a skilled artist and when cycled/minted via smart contract each vector is given an individual number and a unique look now the birth of NFTs. Once born Sneaky Snakes lives on the Ethereum blockchain. Sneaky Snakes Club art is not sold as an investment or to earn you a profit. We appreciate you as an art enthusiast one who enjoys the beauty of our Snakes. Understand, this art is not meant to be an investment in any form or fashion and we do not promise or provide any services other than the art we sell.

2. What We Own

Sneaky Snakes Club (“SSC”) is owned and operated by Crypto NFTs Entrepreneur Group, LLC. The Company reserves all rights that are not specifically granted to the users and owners of “SSC” NFTs. This includes but is not limited to the intellectual property rights surrounding the “Sneaky Snakes” “Sneaky Snake Club”, SS” and “SSC” names, logos, trademarks, the website, the look and feel of the user interface, the smart contract code, and the generative traits in general. In addition to owning the IP surrounding the name “Sneaky Snakes”, “Sneaky Snakes Club”, “SS”, and “SSC” we reserve the exclusive right to use Sneaky Snakes Club official logos for future merchandising purposes.

3. You Own Your Snake

The initial product launch of SSC is a run of 10,000 individual ERC-721 tokens (“Snakes” or “NFTs/ART”) with generative traits that correspond to pieces of art hosted on IPFS. By connecting your Ethereum wallet and minting a Snake with our smart contract, you gain full and complete ownership of your NFT/ART/Snake(s). We advertise pictures that are generated from AI to prevent thieves form posting our real art as their own.

4. You Own Exclusive Commercial Rights to Your Snake / NFT/ Art

You will own full commercial rights to your Snake(s) so long as you continue to own and control the / NFT / Art. You may assign some of these rights to other commercial projects (e.g. Chili Billi Comics, Crazy Coffee Co), but any future transfer of your NFT / Art will be subject to those rights that you have already assigned. You can put your Snake on clothing and merchandise, include them in video games and video projects, and generally do whatever you want with your Snake. You cannot use the name “Sneaky Snake Club” or “Sneaky Snakes” on any commercial product, or use “SSC”, or “SS” unless connected directly to a “#” and the number of your Snake signifying the NFT/Art you own. You agree not to use your Snake(s) in any project or derivative work that involves hate speech, racism, pornography, or any other illegal content.

5. You Can Make Derivative Works

We want you to feel empowered to create new projects and uses for your Snake. You have the right to make derivative works of your Snake if you own the Snake at the time of creation. Additionally, you may assign those rights to other artists, creatives, or third-party projects if you own the Snake at the time, you grant such permissive use.

6. Many Third-Party Uses Are Not Restricted

Nothing in these terms are meant to limit you or a third party from (i) owning or operating an NFT marketplace that permits the use or sale of the Snake(s), so long as the marketplace cryptographically verifies the ownership of the NFT / Art / Snake to ensure that only the owner can use and display their Snake(s); and (ii) owning or operating a third party website or application that permits the inclusion or involvement of the Snakes generally, provided that the website or application verifies the ownership of the NFT / Art / Snake(s) to ensure that only the owner can use and display their Snake. Furthermore, nothing in this TOS is meant to restrict a third-party website’s ability to build tools which track traits or sales.

7. Limitations of Liability for Gas, Failed Transactions, Smart Contract Bugs

We have worked very hard to make sure that there are no bugs in our smart contract and that our initial NFT / Art / Snakes launch is smooth. As we have seen in many previous projects, however, sometimes things break. You agree to hold The Company harmless for any losses you may incur because of minting your NFT / Art Snakes. These potential losses include any gas fees for failed transactions, any excessive gas fees charged due to website or smart contract bugs, and any loss of your NFT / Art / Snakes due to website or smart contract bugs.

8. No Guarantees or Future Promises

Sneaky Snakes Club make no promises to continue with project and or community. We have released a roadmap list / outlining some of the future goals we hope to accomplish. While we intend to work towards our goals, things can happen despite our best effort therefore, we cannot guarantee to complete. You agree that your purchase of a Snake from our initial project is all you are guaranteed to receive. Any future potential airdrops, community gatherings, or other benefits are not a promise. Therefore, please take this under consideration before you purchase. You agree that you are not relying on any future commitments by Sneaky Snakes Club in using this site and participating in our Art / NFT Snakes launch.

9. Sneaky Snakes Club products, are not Intended as Investments

Sneaky Snakes Club Art / NFTs are meant to be a fun avatar, art, NFT and Non-Fungible Token for you to collect. They are not meant as investment vehicles. We make absolutely no promises or guarantee that these NFTs / Art / Snakes will be worth any monetary value. And should not be purchased with such intentions to earn a profit. You understand that they have no inherent monetary value, and they should be treated as nothing more than a fun and beautiful collectible.

10. Taxes

You are entirely responsible for any tax liability which may arise from minting or reselling your art / NFT.

11. Class Action Waiver

You agree to waive any class action status, and any legal dispute around the SSC project which you may choose to bring can only be done on an individual basis.

12. Children

The Sneaky Snakes Club project is not targeted towards children. You agree that you are over the age of 18, or above the legal age of your jurisdiction, whichever is greater.

13. Arbitration

If a legal dispute arises from anything related to the SSC project, you agree to bring the case to binding arbitration according to the Laws within the state of Delaware pertaining to LLC’s.

14. Jurisdiction and Choice of Law

You agree that for purposes of any legal dispute, you will be subject to the jurisdiction of the state of Delaware and that any legal proceeding will be brought in the state of Delaware.

15. Privacy Policy

SSC is not currently collecting any cookies, IP addresses, or user data in connection with your use of the website and app. You understand, however, that the Ethereum blockchain network is a public blockchain, and your transaction history initiated through the website will be made public. You also understand that SSC may work with third-party apps, such as Discord or Collab. Land, which collect and store user data. In the future, SSC may launch products (e.g. merch store) which require us to collect and store user data. In that event, this provision is subject to change.
